On January 8, 2010, the Authority issued a Request for Proposals for general legal counsel services.  The Authority contracts with the City Attorney for certain routine legal matters, Orrick, Herrington and Sutcliffe LLP as bond counsel for the Authority's commercial paper program, and it also retains an outside firm as general counsel specialized in transportation matters.  By the due date of February 8, the Authority received two responsive bids, which included both a technical and cost component.  On February 12, the Authority issued an invitation to interview both firms.  Interviews were conducted on February 19 by a selection panel comprised of representatives from the City/County Association of Governments of San Mateo County and the Authority.  Based on this competitive selection process, the selection panel recommended award of a general legal counsel services contract to the first-ranked firm, Nossaman LLP.  We are seeking a recommendation for the award of a three-year legal services contract, with an option to extend for two additional one-year periods, to Nossaman LLP, in an amount not to exceed $630,000, for general legal counsel services, and authorization for the Executive Director to negotiate the non-monetary terms and conditions of the contract.

4.                  Recommend Approval of a Budget Amendment to Add $100,000 in Prop K Funds to the Authority's Fiscal Year 2009/10 Budget for the Purpose of Partially Defraying the Cost of a Management Performance Audit of the Municipal Transportation Agency to be Undertaken by the Budget Analyst's Office - ACTION* attachment

This item is on the agenda pursuant to a request made by Chair Mirkarimi at the January 26 Authority Board meeting. While the initiative to conduct a management performance audit of the Municipal Transportation Agency (MTA) originated at the Board of Supervisors, the rationale for a Prop K appropriation is that the Authority devotes a significant portion of Prop K allocations to capital projects to be delivered by the MTA, and any improvements to the efficiency of the project delivery process would result in benefit to the Prop K program that should easily outweigh the investment in the audit.  An action to appropriate the funds will be included in the agenda for the Plans and Programs Committee meeting on March 23. The appropriation is intended to be only a partial contribution to the full cost of the audit. The full cost and scope of the audit will be finalized by the Board of Supervisors, pending further discussions later this month. The appropriation is requested with the understanding that this is a one-time action and for a maximum Prop K contribution of $100,000, irrespective of the ultimate scope or size of the audit contract. The Authority will arrange to make payment to the Budget Analyst through the office of the Clerk of the Board of Supervisors at such time as the audit is complete.  We are seeking a recommendation to approve a budget amendment to add $100,000 in Prop K funds to the Authority's FY 2009/10 Budget for the purpose of partially defraying the cost of a management performance audit of the MTA to be undertaken by the Budget Analyst's Office.
